Hana Site Terms of Service

These Terms of Service (the “Terms”) govern your use of website design and related services provided by Hana Site (“Hana Site”, “we”, “us”, or “our”). By requesting, purchasing, or using our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

If you do not agree to these Terms, you must not engage Hana Site or use any deliverables we provide.

1. Definitions

For the purposes of these Terms:

  • “Services” means website design, UX/UI design, website development, landing page creation, content implementation, design systems, or any related consulting and support services provided by Hana Site.
  • “Deliverables” means all design files, prototypes, code, documentation, graphics, and other outputs that Hana Site develops for you as part of the Services.
  • “Project” means the specific engagement or scope of work agreed in writing between you and Hana Site (for example, in a proposal, statement of work, order form, or email confirmation).

2. Acceptance of Terms

By approving a proposal, paying an invoice, signing an agreement, or otherwise requesting Services from Hana Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any applicable Project-specific agreement. In the event of a conflict between these Terms and a signed written agreement, the signed written agreement will control for that Project.

3. Scope of Services and Project Process

3.1 Project scope

The scope of each Project, including specific Deliverables, timelines, and fees, will be documented in a written proposal, statement of work, or similar document issued by Hana Site and accepted by you. Only items explicitly described in the agreed scope are included in the Project fee.

Any work requested that falls outside the agreed scope (including, but not limited to, additional pages, features, integrations, or content types) may be treated as a change request and may require a separate quote, revised timeline, and additional fees.

3.2 Process and timelines

Hana Site will use commercially reasonable efforts to follow the estimated schedule outlined in the Project documentation. Timelines are estimates and depend on your timely feedback, approvals, and provision of materials. Delays in receiving required input from you may result in adjusted delivery dates.

4. Client Responsibilities

  • Provide accurate, complete information about your business, requirements, and objectives.
  • Supply all necessary content, brand assets, logins, and third-party credentials in a timely manner.
  • Ensure that any content, logos, images, fonts, or other materials you provide do not infringe the rights of third parties.
  • Designate a primary point of contact empowered to provide feedback and approvals.
  • Review and approve Deliverables within the review timelines specified by Hana Site or the Project documentation.
  • Test the website or Deliverables upon handover and promptly report any issues that you wish Hana Site to address under the Project scope.

You are solely responsible for the accuracy, completeness, and legality of all content and materials you provide to Hana Site and for compliance of your finished website with all applicable laws and regulations (including, without limitation, privacy, accessibility, and industry-specific rules).

5. Hana Site Responsibilities

Hana Site will provide the Services with reasonable skill, care, and professionalism expected of a competent website design provider. Specifically, Hana Site will:

  • Deliver the agreed-upon design and development work in line with the approved scope.
  • Communicate relevant milestones, dependencies, and decisions needed from you.
  • Use industry-standard tools and methods to create modern, responsive website designs, unless otherwise agreed.
  • Take reasonable measures to keep your shared credentials and sensitive information confidential, consistent with our privacy practices.

6. Revisions and Change Requests

6.1 Included revisions

Each Project typically includes a defined number of revision rounds, which will be specified in your proposal or Project documentation. A “revision round” means a single consolidated set of change requests you provide after reviewing a Deliverable.

6.2 Out-of-scope changes

Significant changes to previously approved work, requests that materially alter the Project direction, or additions beyond the agreed scope may be treated as change requests subject to additional fees and extended timelines. Hana Site will inform you when a requested change is likely to be out of scope before proceeding wherever reasonably possible.

7. Payment Terms

7.1 Fees and invoicing

Project fees, billing structure (fixed-fee, hourly, or retainer), and any milestone payments will be specified in your proposal or Project documentation. Unless otherwise stated, all fees are quoted and payable in the currency indicated on the invoice and are exclusive of applicable taxes, which you are responsible for paying.

7.2 Payment schedule

Unless otherwise agreed in writing, Hana Site may require an upfront deposit before starting work, with remaining amounts payable on specified milestones or upon delivery of the final Deliverables. Invoices are due within the payment term indicated on the invoice (typically 7–14 days) from the invoice date.

7.3 Late payments

If any payment is not received by the due date, Hana Site may suspend work, withhold Deliverables, and delay handover until all outstanding amounts are paid. We may charge interest or late fees on overdue amounts to the maximum extent permitted by applicable law and may recover reasonable costs of collection, including legal fees and expenses.

8. Intellectual Property Ownership

8.1 Client materials

You retain all right, title, and interest in and to any content, trademarks, logos, and other materials you provide to Hana Site (“Client Materials”). You grant Hana Site a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Client Materials solely as necessary to perform the Services and deliver the Deliverables.

8.2 Project deliverables

Upon your full payment of all fees due for a Project, and subject to these Terms and any Project-specific agreement, Hana Site grants you a non-exclusive, perpetual, worldwide license to use the final approved visual design and front-end assets of the Deliverables for your own business purposes, including operation of your website or landing pages.

Unless explicitly transferred in a signed agreement, Hana Site retains all intellectual property rights in and to our pre-existing materials, design systems, internal tools, templates, code libraries, and know-how, as well as any generic components or methodologies that are not unique to your brand. We may reuse such elements in future projects for other clients, provided we do not disclose your confidential information.

8.3 Third-party assets and licenses

Your use of any third-party fonts, stock photos, icons, plugins, themes, or other third-party materials incorporated into the Deliverables may be subject to separate license terms imposed by the relevant third party. Unless explicitly stated otherwise in writing, you are responsible for obtaining and maintaining any necessary third-party licenses for your ongoing use of such materials.

9. Portfolio and Attribution

You grant Hana Site the right to display your Project and non-confidential elements of the Deliverables in our portfolio, case studies, social media, and marketing materials, including the use of your company name and logo, unless you and Hana Site have agreed in writing to reasonable confidentiality restrictions for the Project. We may also include a small, unobtrusive designer credit or link in the website footer unless you request its removal in writing.

10. Warranties and Disclaimers

10.1 Limited warranty

For a period of 14 days after final delivery or launch (unless otherwise agreed), Hana Site will correct, at no additional charge, any reproducible defects in the Deliverables that are directly attributable to our failure to follow the agreed design or development specifications. This limited warranty does not cover issues caused by third-party services, hosting environments, later modifications made by you or third parties, or changes to browsers, devices, or platforms after delivery.

10.2 General disclaimers

Except as expressly set out above, the Services and Deliverables are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Hana Site disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Hana Site does not guarantee specific business outcomes or metrics, such as increased traffic, conversion rates, revenue, or search engine rankings. Performance of your website depends on many factors outside our control, including your marketing efforts, competition, budget, and the broader market environment.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Hana Site be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Services or these Terms, even if we have been advised of the possibility of such damages.

To the extent permitted by law, Hana Site’s total aggregate liability arising out of or relating to any Project, the Services, or these Terms, whether in contract, tort, or otherwise, will be limited to the total fees actually paid by you to Hana Site for the specific Project giving rise to the claim during the twelve (12) months preceding the event giving rise to such liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hana Site and our officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or in connection with: (a) your use of the Services or Deliverables; (b) any Client Materials or content you provide; (c) your breach of these Terms; or (d) your violation of any applicable law or the rights of a third party.

13. Termination and Suspension

13.1 Termination by client

You may terminate a Project at any time by providing written notice to Hana Site. If you terminate before completion, you will be responsible for payment of all work performed, expenses incurred, and non-cancellable commitments made by Hana Site up to the effective date of termination, which may include a reasonable portion of the remaining Project fee depending on work in progress and costs already committed.

13.2 Termination or suspension by Hana Site

Hana Site may suspend or terminate a Project or your access to the Services if: (a) you materially breach these Terms or any Project agreement and fail to cure such breach within a reasonable period after notice; (b) you fail to pay fees when due; or (c) we reasonably determine that continuing the engagement would violate applicable law or pose unacceptable risk to us or third parties. In such cases, you remain responsible for payment for all work performed and costs incurred through the effective date of termination.

14. Confidentiality and Data Protection

Each party agrees to treat as confidential any non-public information disclosed by the other party that is designated as confidential or would reasonably be understood to be confidential based on its nature and the circumstances of disclosure. Confidential information may be used only for purposes of performing or receiving the Services and may not be disclosed to any third party except as necessary to fulfill such purposes or as required by law.

Hana Site will handle any personal data received from you in connection with the Services in accordance with applicable data protection laws and our privacy practices. You are responsible for ensuring that you have a lawful basis to share any personal data with us and that your use of the Deliverables complies with applicable privacy and data protection requirements.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to the Services or the Deliverables will be governed by and construed in accordance with the laws of the jurisdiction in which Hana Site is primarily established, without regard to its conflict of law principles. The specific governing jurisdiction will be indicated in your proposal or Project documentation where required by law or contract practice.

The parties will first attempt in good faith to resolve any dispute through informal negotiations. If the dispute cannot be resolved informally within a reasonable time, the parties agree to submit to the exclusive jurisdiction of the courts located in the governing jurisdiction described above, unless otherwise required by applicable law.

16. Changes to These Terms

Hana Site may update these Terms from time to time, for example to reflect changes in our Services or in applicable laws. When we do so, we will post the updated Terms on our website and update the “Last updated” date at the top of this page. Changes will apply to Projects initiated after the effective date of the updated Terms. For ongoing Projects, we will notify you of any material changes that may affect your current engagement.

17. General Provisions

  • Entire agreement: These Terms, together with any applicable proposal or Project documentation, constitute the entire agreement between you and Hana Site regarding the Services and supersede all prior or contemporaneous discussions and understandings.
  • Independent contractors: The relationship between you and Hana Site is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without Hana Site’s prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver: A failure or delay by either party to exercise any right under these Terms does not constitute a waiver of that right.
